1. Scope
This Addendum applies when a Customer (“Agency”) uses Preferium AI Edge, Dashboard or Managed AI SEO for End Customers, resells the Services or uses an approved branded interface. Preferium AS remains the underlying platform supplier.
2. Independent reseller
Agency is an independent provider, not Preferium’s agent, partner, franchisee or representative. It cannot bind Preferium or expand our warranties. Agency sets resale prices, invoices and supports End Customers and is responsible for its taxes, refunds and marketing claims. Preferium is not party to an Agency–End Customer contract unless agreed in writing.
3. End Customer agreement
Before connecting a domain, Agency must have a written agreement that authorises crawling, DNS, selected Google access and Edge publishing; flows down the AUP, AI, IP, sanctions and privacy requirements; correctly allocates support and billing; gives legally required processor, cookie and AI disclosures; and promises no more than Agency is entitled to provide. Agency must evidence authority on request.
4. Data roles
Roles follow actual processing. End Customer is commonly controller for its website visitors, Agency processor and Preferium subprocessor. Preferium remains controller for its own account, billing, security and business administration.
Where Agency is processor, it warrants written End Controller authority to appoint Preferium and our further subprocessors, must transmit lawful instructions, and must support rights requests, incidents, audits and deletion under equivalent Article 28 terms.
5. Branding licence
Preferium grants a limited, non-exclusive, revocable, non-transferable licence to use approved white-label functions and materials during the term. No source code, models, methods or Preferium marks transfer. Agency grants the limited right to display its marks for delivery, must meet technical quality rules, retain legally required notices and avoid implying platform endorsement.
6. Operations and support
Agency provides first-line commercial and ordinary support unless the Order says otherwise. Preferium may contact End Customers where reasonably necessary for domain validation, security, privacy, incidents, law or continuity, without creating a direct contract. Agency is responsible for its workspaces, users, End Customers and instructions.
7. Marketing restrictions
Agency must make truthful, substantiated claims and comply with marketing, consumer, privacy and platform rules. It must not promise ranking, traffic, AI citation, revenue or unsupported compatibility; claim approval by Google or another platform; conceal required commercial disclosure; or use fake reviews/results. Preferium may require correction and suspend brand rights for material or repeated breach.
8. Liability and indemnity
Agency is responsible for End Customer activity as its own and will defend and indemnify Preferium against claims arising from missing authority, downstream promises/contracts, End Customer content, unlawful marketing, deficient privacy/consent, taxes/refunds or failure to flow down requirements. The Core Terms’ procedure and limitations apply without restricting mandatory data-subject/regulator rights.
9. End of white-label rights
Agency must stop new sales and use of Preferium materials. Each workspace follows the Core Terms’ exit process. Preferium may offer a direct transition only with Agency consent, where the Order permits, or to prevent unlawful processing or serious security/continuity harm. Exit communications must be timely, neutral and accurate.
